Anti-corruption Reforms and Retrenchment in International Sport Federations
Drawing on a longitudinal qualitative case study of FIFA (2016–2024), this study examines the retrenchment of anti-corruption governance reforms in organizations characterized by entrenched institutional logics that enable corruption. Building on institutional theory, we analyze how changing external pressure interacts with an institutionalized clientelist governance logic to shape reform trajectories over time. We identify a three-phase process …

Regulatory Territory and General Deterrence Across Borders
Regulators increasingly engage in extraterritorial law enforcement, but its deterrence effects on organizations remain poorly understood. Based on a case study in the Swiss private wealth management industry, we explore the conditions under which U.S. extraterritorial law enforcement provoked cross-border general deterrence, preventing not only the prosecuted Swiss banks but also the unprosecuted ones (i.e., the observers of the events) from viol…
Exploring the dark and unexpected sides of digitalization
Digitalization has far-reaching implications for individuals, organizations, and society. While extant management and organization studies mainly focus on the positive aspects of this development, the dark and potentially unexpected sides of digitalization for organizations and organizing have received less scholarly attention. This special issue extends this emerging debate. Drawing on empirical material of platform corporations, social movement…

Walking and Talking Corporate Social Responsibility
In this paper we address two interrelated research gaps in the Corporate Social Responsibility (CSR) literature. The first results from a lack of understanding of different patterns of CSR engagement with respect to CSR talk (impression management and the creation of symbolic images and documentation) and CSR walk (substantive implementation of CSR policies, structures and procedures). Related to this, the second gap concerns limited knowledge ab…
The Business Firm as a Political Actor
The state governance system seems to be incapable to address sufficiently global public goods problems or to regulate global business so that the public interest is served. At the same time, international governmental organizations are unable to fill the governance gap while nongovernmental organizations (NGOs) criticize the behavior of business firms along their supply chains. Therefore, business firms are confronted with increasing social and e…

Critical Theory and its Contribution to Critical Management Studies
The aim of this chapter is to provide an outline of the development and basic ideas of critical theory (CT), one of the most prominent philosophical foundations of critical management studies (CMS). CT has perhaps had even more influence on the development of CMS than related theoretical foundations, such as labor process theory, post-structuralism, or critical realism, which will be described in subsequent chapters of the Handbook. CT has a uniq…
Introduction
In market societies economic exchange requires the existence and enforcement of rules that the market cannot generate itself. Although the dimensions and limits of state intervention have always been a matter of debate, it is indisputable that certain rules need to be implemented for an economy to function properly and contribute to the common good. Consequently, many theories of society assume that these rules will be created and enforced by nat…
Toward a political conception of corporate responsibility
We review two important schools within business and society research, which we label positivist and postpositivist corporate social responsibility (CSR). The former is criticized because of its instrumentalism and normative vacuity and the latter because of its relativism, foundationalism, and utopianism. We propose a new approach, based on Jürgen Habermas's theory of democracy, and we define the new role of the business firm as a political actor…
Corporate Legitimacy as Deliberation
Modern society is challenged by a loss of efficiency in national governance systems values, and lifestyles. Corporate social responsibility (CSR) discourse builds upon a conception of organizational legitimacy that does not appropriately reflect these changes. The problems arise from the a-political role of the corporation in the concepts of cognitive and pragmatic legitimacy, which are based on compliance to national law and on relatively homoge…
Heimliche Komplizenschaft
In a globalized world nation state governments are no longer able to control the behaviour of global economic actors via legislation and execution. At the same time transnational organizations such as the UN, the ILO or the WTO have not yet established a suitable world order for the global economy. Critics of globalization raise concerns that in many countries multinational firms and their suppliers do not comply to human rights or to social and …
Pluralism and Incommensurability in Strategic Management and Organization Theory
Research in management has become more and more differentiated and complex. In organization theory and strategic management one can find different approaches, concepts, and theories, which are not only diverse, but often give contradictory advice. Therefore, it has become difficult for both the researcher and the practitioner to find appropriate answers to theoretical and practical problems. This is especially true in a situation of incommensurab…
