The New Unilateralism in EU Cross-Border Regulation
For years, Europe was a site of resistance to regulatory unilateralism, particularly as practiced by the United States. Today, though, there are signs of a robust unilateralism at work in EU regulatory practices. To some extent it simply mirrors practices adopted in the United States and elsewhere: Like other lawmakers, the EU has begun to act unilaterally where necessary to achieve effective regulation of its own markets and to protect local int…
Adhesive Forum Selection Agreements and Access to Justice
The enforcement of forum selection and arbitration agreements against consumers and other parties in disadvantaged bargaining positions has significant consequences for access to justice. As a result, some legal systems simply decline to enforce jurisdictional agreements against certain groups. This is not the case in the United States. The Interpretation and Effect of Permissive Forum Selection Clauses Under U.S. Law
A forum selection clause is a form of contractual waiver. By this device, a contract party waives its rights to raise jurisdictional or venue objections if a lawsuit is initiated against it in the chosen court. The use of such a clause in a particular case may therefore raise a set of questions under contract law. Is the waiver valid? Was it procured by fraud, duress, or other unconscionable means? What is its scope? And so on. Unlike most contra…
The Scope and Limitations of the Presumption against Extraterritoriality
In RJR Nabisco v. European Community, the Supreme Court addressed the extraterritorial application of U.S. law for the third time in six years-in this case examining the geographic scope of the Racketeer Influenced and Corrupt Organizations Act (RICO). The decision consolidates and in certain respects expands upon the test for analyzing extraterritoriality issues that the Court had introduced in Morrison v. National Australia Bank and refined in …

Territory, Territoriality, and the Resolution of Jurisdictional Conflict
Ever-increasing gaps and overlaps in the national regulation of cross-border events challenge territorial sovereignty as the conceptual basis for rules on legislative jurisdiction. At the same time, the work of scholars in a range of disciplines, including international relations and critical geography, has complicated our understanding of the relationship between territory and power in the age of globalization. As a result, emerging models of ju…
