  • Understanding Corporate Purpose: Bringing Clarity to Corporate Purpose, Success and Law

    Open Access•C Mayer•ARTICLE•Victoria University of Wellington…•2025

We have misconceived the nature of the fundamental driver of a business, namely its profit. We do not account for its "true costs" and therefore do not report its "fair profits". Categorising this as a market failure arising from "externalities" has resulted in wrong policy prescriptions regarding competition and regulation to address the problem. Instead, we should recognise it as a failure to define the purpose of a business appropriately. Corp…

  • Capitalism and Crises: How to Fix Them

    C Mayer•BOOK•Capitalism and Crises•2023

The world is encountering multiple crises—climate, droughts, floods, energy, food, and pandemics. This book is about how capitalism can fix them—how it can solve not cause them. The reason why it has caused them is that we have misconceived the nature of our capitalist system. We have failed to understand the key institution at the heart of it—business—and as a result we have allowed it to cause as well as solve problems. This book describes why …

  • Are Moral Firms Committed Firms

    Open Access•C Mayer•ARTICLE•Daedalus•2023

Corporate purpose is everywhere, but will it stay? Is it a business revolution or a passing fad, destined to go the way of so many business concepts? Reliance on the good judgment and goodwill of corporate leaders is a justifiable cause for concern, and resort is often sought instead in the apparently safe harbor of public regulation. But reliance should not be placed on governments and regulators alone to constrain the corporate giants in the fa…

  • What Is Wrong with Corporate Law? The Purpose of Law and the Law of Purpose

    C Mayer•ARTICLE•Annual Review of Law and Social…•2022•References: 2

Corporate purpose should be at the heart of corporate law. This article addresses objections that corporate law already permits firms to determine their purposes, and companies would not in any event do more than at present in formulating their purposes. It argues, first, that critics of the law of corporate purpose have failed to recognize that purpose can address divergences of private interests of corporations from public interests of society …
