Taking chances? The effect of CEO risk propensity on firms’ risky internationalization decisions
Unpacking the dynamics of a contested practice
The corporate scandals and market crashes of the 2000s generated significant criticism of the shareholder value orientation (SVO) in the USA. We offer a sociopolitical analysis of how this criticism triggered changes in stock-based executive compensation, a central practice associated with the SVO. We first analyze how corporate stakeholders redefined different forms of stock-based compensation, motivated new regulations and wielded direct challe…
Agency Theory
This theory examines the problems – and partial contractual solutions ( see Contracts) – that exist when a principal delegates Decision‐Making responsibility to an agent who is paid a fee, but whose own objectives may conflict with those of the principal.
Transaction Cost Economics
Transaction cost economics (TCE) has become one of the most influential (and somewhat controversial) theoretical perspectives in organizational and strategy research.
Made to Fit
We extend research on the diffusion of corporate practices by providing a framework for studying practice variation during diffusion processes. Specifically, we theorize about how population-level mechanisms of diffusion link with organization-level mechanisms of implementation that lead to the adaptation of practices. We also identify technical, cultural, and political elements of fit (or misfit) between diffusing practices and adopters and anal…
The Symbolic Management of Strategic Change
This study develops a symbolic management perspective on strategic change to predict and test the antecedents and consequences of how firms frame strategic change. Using data from a sample of contemporary German corporations, we find support for our predictions that firms (1) use specific framing language that fits better with their divergent stakeholder preferences, (2) use language that decouples espousal and actual implementation of strategic …

The Social Construction of Market Value
This study advances a social constructionist view of financial market behavior. The paper suggests that the market's reaction to particular corporate practices, such as stock repurchase plans, are not, as financial economists contend, simply a function of the inherent efficiency of such practices. Rather, stock market reactions are also influenced by the prevailing institutional logic and the degree of institutionalization of the practice. The th…
Exploring the Limits of the New Institutionalism
While the new institutionalism has emerged as a dominant theory of organization-environment relations, very little research has examined its possible limits. Under what circumstances might the neoinstitutional predictions regarding organizational inertia, institutional isomorphism, the legitimacy imperative, and other fundamental beliefs be overshadowed by more traditional sociological theories accentuating organizational adaptation, variation, a…
