Corporate Social Responsibility (CSR) is a key asset for the legitimacy of compagnies in their operating territory. The aim of this article is to analyze the sustainability of CSR through Gift and Counter-Gift. Based on a qualitative empirical study carried out with fifteen CSR managers from companies, four village chiefs, five representatives of village communities and six officials from decentralized local authorities, the study identified regulatory and conciliatory mechanisms in forestry transactions, and showed that the sustainability of CSR is guaranteed by cooperation between the various stakeholders and the reduction of anthropological burdens. This makes it possible to develop a new bilateral approach to CSR, co-defined with stakeholders
